TicketSync Terms of Use

Welcome to TicketSync. These Terms of Use ("Terms") form a legally binding agreement between you and TicketSync Technologies (Pty) Ltd ("TicketSync", "we", "us", "our"), governing your access to and use of the TicketSync website, mobile apps, organizer/admin dashboard, and related services (collectively, the "Platform").
By creating an account, browsing, or purchasing a ticket through the Platform, you agree to these Terms. If you do not agree, do not use the Platform.
These Terms should be read together with our:
Where there is a conflict between the Purchase Policy and these Terms on matters of ticket sales, refunds, or delivery, the Purchase Policy governs.
1. Who Can Use TicketSync
- You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account, or use the Platform under the supervision of a parent/guardian who agrees to these Terms on your behalf.
- You must provide accurate, current, and complete information when registering, and keep it up to date.
- You are responsible for all activity on your account and for keeping your login credentials confidential. Notify us immediately at info@ticketsync.co.za if you suspect unauthorized use of your account.
- You may not create an account using false identity information, or on behalf of someone else without authorization.
2. Types of Accounts
2.1 Fan Accounts
Used to browse events, purchase tickets, manage orders, and receive event communications.
2.2 Organizer/Admin Accounts
Used by event organizers, promoters, or venues to create and manage events, sell tickets, and access sales analytics and payouts. Organizer accounts are subject to additional terms:
- Verification: We may require proof of identity, business registration, and banking details before activating payouts, in line with our payment processor's KYC/AML obligations.
- Accuracy of listings: You are solely responsible for the accuracy of your event listing — date, time, venue, age restrictions, pricing, and refund terms specific to your event.
- Compliance: You are responsible for obtaining any licences, permits, or consents required to legally host and sell tickets to your event (e.g., venue capacity, entertainment licences, tax registration).
- Payouts: Payouts are subject to our payout schedule, applicable service fees, and holdbacks for fraud/chargeback risk as disclosed in your organizer agreement/fee schedule.
- Cancellation obligations: If you cancel or materially change your event, you are responsible for honouring the refund obligations described in our Purchase Policy and communicating promptly with affected ticket holders.
- Admin dashboard access: You may invite team members to your organizer account subject to role-based permissions you configure; you remain responsible for all actions taken under your organizer account, including by invited users.
3. Acceptable Use
You agree not to:
- Use bots, scripts, scrapers, or other automated means to access the Platform, purchase tickets beyond stated limits, or circumvent security/rate-limit controls.
- Resell tickets in violation of the Event Organizer's resale policy or applicable anti-scalping law.
- Attempt to gain unauthorized access to any account, system, or data, or interfere with the Platform's security features.
- Upload or transmit malicious code, or attempt to reverse-engineer, decompile, or probe the Platform for vulnerabilities outside an authorized responsible-disclosure/bug-bounty process.
- Use the Platform to harass, defraud, impersonate, or infringe the rights of any person or organization.
- Post false, misleading, defamatory, or infringing content (e.g., in reviews, event descriptions, or support communications).
- Use the Platform for any unlawful purpose, or in a way that violates any applicable law or regulation.
We reserve the right to investigate suspected violations and take action including warning, suspending, or terminating accounts, cancelling orders, and reporting conduct to law enforcement where appropriate.
4. Tickets and Purchases
Ticket purchases, pricing, refunds, transfers, resale, and delivery are governed by our Purchase Policy, which forms part of these Terms. Key points reiterated here:
- Tickets are a limited, revocable licence to attend an event, subject to the Event Organizer's and venue's conditions of entry.
- TicketSync acts as a ticketing platform on behalf of Event Organizers; the Event Organizer is responsible for delivering the event itself.
- We reserve the right to cancel orders that breach these Terms, our Purchase Policy, or applicable law (e.g., fraudulent payment, bot purchasing, resale in breach of policy), without liability to TicketSync beyond any refund due.
5. Fees
TicketSync may charge service and/or delivery fees on ticket purchases, disclosed and itemized before checkout is completed. Organizer accounts are subject to the platform/transaction fees set out in their organizer fee schedule, which may be updated with reasonable notice.
6. Intellectual Property
- The Platform, including its software, design, logos, and content (excluding Event Organizer content and user-generated content), is owned by or licensed to TicketSync and protected by copyright, trademark, and other intellectual property laws.
- You may not copy, modify, distribute, sell, or lease any part of the Platform, or reverse-engineer or attempt to extract source code, except as permitted by law.
- Event Organizer content (event descriptions, images, artist names/likenesses, logos) remains the property of the respective Organizer or rights holder. Organizers represent that they have the rights to upload and use any content they submit to the Platform.
- Your content: By submitting reviews, ratings, or other content to the Platform, you grant TicketSync a non-exclusive, royalty-free, worldwide licence to use, display, and distribute that content in connection with operating and promoting the Platform. You confirm you have the right to grant this licence.
If you believe content on the Platform infringes your intellectual property rights, contact info@ticketsync.co.za with details of the alleged infringement.
7. Third-Party Services and Links
The Platform may integrate with or link to third-party services (payment processors, mapping tools, social media, Event Organizer websites). TicketSync is not responsible for the content, accuracy, or practices of third-party services, and your use of them is governed by their own terms and privacy policies.
8. Event Changes, Cancellations, and Conduct at Events
- Event details (date, time, venue, line-up) are set by the Event Organizer and may change. Where required, we will notify ticket holders of known material changes, but we rely on Event Organizers to inform us promptly.
- Attendance at events is subject to the venue's and Organizer's conditions of entry, including security screening, bag policies, and code of conduct. TicketSync is not responsible for the conduct of Event Organizers, venues, other attendees, or performers, or for incidents occurring at an event.
- Venues/Organizers may refuse entry or remove attendees for safety, security, or conduct reasons, in accordance with applicable law.
9. Disclaimers
To the maximum extent permitted by applicable law:
- The Platform is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
- We do not warrant that the Platform will be uninterrupted, error-free, or secure, or that any event listed will occur as scheduled.
- We are not responsible for the quality, safety, legality, or accuracy of events, venues, or Event Organizer conduct.
Nothing in this section limits any right or remedy you have under the Consumer Protection Act (South Africa) or other applicable consumer protection law that cannot lawfully be excluded.
10. Limitation of Liability
To the maximum extent permitted by applicable law, TicketSync's total liability to you for any claim arising out of or relating to these Terms or your use of the Platform shall not exceed the total amount you paid to TicketSync for the specific order giving rise to the claim in the 12 months preceding the claim.
TicketSync shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of the Platform or attendance at any event, even if advised of the possibility of such damages.
This limitation does not apply to liability that cannot be excluded or limited under applicable law (e.g., liability for gross negligence, fraud, or death/personal injury caused by our negligence, where such exclusion is not permitted).
11. Indemnification
You agree to indemnify and hold TicketSync, its officers, employees, and affiliates harmless from any claims, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your breach of these Terms; (b) your violation of any law or third-party right; or (c), if you are an Event Organizer, your event, listing content, or failure to obtain required licences/permits.
12. Suspension and Termination
- By you: You may close your account at any time via account settings or by contacting support, subject to any pending orders/upcoming events tied to the account.
- By us: We may suspend or terminate your access to the Platform, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent or unlawful activity, or where required by law.
- Sections that by their nature should survive termination (e.g., Intellectual Property, Disclaimers, Limitation of Liability, Governing Law) will survive.
13. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will provide notice (e.g., email or in-app notification) before the changes take effect. Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the changes, you should stop using the Platform and may close your account.
14. Governing Law and Dispute Resolution
- These Terms are governed by the laws of the Republic of South Africa, without regard to conflict-of-law principles.
- Any dispute arising from these Terms or your use of the Platform will first be addressed through our customer support team. If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts of South Africa, unless mandatory consumer protection law gives you the right to bring a claim elsewhere.
- Nothing in this section prevents you from lodging a complaint with a relevant regulator (e.g., the National Consumer Commission or the Information Regulator).
15. General Provisions
- Entire agreement: These Terms, together with the Privacy Policy, Cookie Policy, and Purchase Policy, constitute the entire agreement between you and TicketSync regarding the Platform.
- Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force.
- No waiver: Our failure to enforce any provision is not a waiver of our right to do so later.
- Assignment: You may not assign your rights under these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Force majeure: We are not liable for delays or failures caused by circumstances beyond our reasonable control (see also Purchase Policy Section 11).
- Notices: We may provide notices to you via email, in-app notification, or by posting on the Platform.
